Terms of Use

These Terms of Use ("Terms") are a binding legal agreement between you and BoardsVault LLC ("we," "us," or "our") governing your access to and use of the BoardsVault platform, including all associated content, software, and services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Service.

Description of the Service

BoardsVault is an online knowledge and learning platform for medical board exam preparation. The Service provides question banks, per-choice explanations, performance analytics, study plans, and related educational tools designed for medical students, residents, and other healthcare professionals preparing for USMLE and ABA board examinations.

All content in the Service is intended exclusively for educational purposes. It does not constitute diagnostic, treatment, or clinical recommendations and must not be used as a substitute for professional medical judgment. Users bear full responsibility for how they apply information obtained through the Service.

Eligibility

You must be at least 18 years of age to use the Service. By registering, you represent that you are 18 or older, that the information you provide is accurate and complete, and that you have the legal authority to enter into a binding agreement. BoardsVault reserves the right to refuse or revoke registration at its discretion. The Service is not intended for and may not be used by persons under the age of 18.

User Accounts

Access to the Service requires a registered account. Each account is licensed for use by a single individual and may not be shared, transferred, or used concurrently by multiple persons. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you become aware of any unauthorized use of your account, you must notify us immediately at support@boardsvault.com.

Subscriptions and Payment

BoardsVault offers both free and paid subscription plans. Paid subscriptions grant access to additional features and content as described on the Pricing page at the time of purchase.

All payments are processed securely through Stripe. BoardsVault does not store your credit card or payment details.

Rights of Use

Subject to these Terms, BoardsVault grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and its content solely for your own personal, non-commercial educational purposes for the duration of your active subscription.

This license does not include the right to:

Intellectual Property

All content available through the Service — including but not limited to questions, explanations, teaching points, images, illustrations, software, trademarks, and design elements — is the exclusive property of BoardsVault or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. Your subscription grants a license to access this content as described above. No ownership of any intellectual property is transferred to you through use of the Service.

Acceptable Use

You agree to use the Service only for its intended educational purpose and in compliance with all applicable laws. You may not:

BoardsVault reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice, at its sole discretion.

Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. BOARDSVAULT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

BoardsVault does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. BoardsVault does not guarantee any particular exam score, outcome, or result from use of the Service. Performance analytics and score estimates are educational tools only and are not predictive of official examination results.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOARDSVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF BOARDSVAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BOARDSVAULT'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO BOARDSVAULT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify, defend, and hold harmless BoardsVault and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Service, or your violation of any applicable law or third-party rights, except to the extent caused by BoardsVault's own gross negligence or willful misconduct.

Force Majeure

BoardsVault shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power outages, third-party infrastructure failures, or actions of governmental authorities.

Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Informal resolution. Before initiating any formal dispute, you agree to contact us at support@boardsvault.com and give us 30 days to attempt to resolve the dispute informally.

Binding arbitration.If the dispute is not resolved informally, you and BoardsVault agree that any claim, dispute, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in New Castle County, Delaware, unless the parties agree otherwise. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND BOARDSVAULT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. All disputes must be brought in your individual capacity only.

Exceptions. Either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that fall within the jurisdiction of a small claims court are also exempt from arbitration.

Time limitation on claims. Any claim arising out of or relating to these Terms or the Service must be brought within twelve (12) months of the date on which the circumstances giving rise to the claim became known or should reasonably have been known. Claims not brought within this period are permanently barred.

Termination

Either party may terminate this agreement at any time. You may terminate by cancelling your subscription and ceasing use of the Service. BoardsVault may terminate or suspend your access immediately, without prior notice, if you materially breach these Terms or engage in conduct that BoardsVault reasonably determines is harmful to the platform, its users, or its interests. Upon termination, your license to access the Service and its content is immediately revoked. The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, and Governing Law.

Modifications to These Terms

BoardsVault reserves the right to update or modify these Terms at any time. We will notify you of material changes by email at least 30 days before they take effect. Continued use of the Service after the updated Terms take effect constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Service before the effective date.

Governing Law and Venue

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. To the extent any dispute proceeds in court rather than arbitration, you and BoardsVault consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.
